IMPORTANT: Please read these Terms and Conditions carefully before placing an order. By completing a purchase on this website you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use this website or place any order.

1.2  References to ‘we’, ‘us’, or ‘our’ in these Terms mean High Noon Hospitality Services Ltd. References to ‘you’ or ‘your’ mean the person placing an order or using the website.

 

2.  Definitions

In these Terms the following words have the meanings set out below:

Business Customer A customer purchasing Goods in the course of a business, trade, or profession.
Consumer A natural person purchasing Goods wholly or mainly outside their trade, business, craft, or profession, as defined in the Consumer Rights Act 2015.
Contract The legally binding agreement formed between us and you when we accept your Order, on the terms set out in these Terms.
Goods The furniture and related products available for purchase on the Site.
Order Your request to purchase one or more Goods from the Site.
Order Confirmation Our email to you confirming acceptance of your Order.
Site The website located at hnfurnituresales.co.uk.
Working Day Any day other than a Saturday, Sunday, or public holiday in England.

 

3.  Basis of Contract

3.1  By placing an Order you make an offer to purchase Goods subject to these Terms. No Contract is formed until we send you an Order Confirmation. Product pages on the Site are invitations to treat, not offers.

3.2  We reserve the right to decline any Order at our discretion. If we decline an Order after payment has been taken, we will refund the full amount paid within 3 Working Days.

3.3  You must be at least 18 years of age to place an Order. By placing an Order, you confirm that you meet this requirement.

3.4  These Terms apply to every Order and take precedence over any terms you seek to impose. No other terms are incorporated unless we agree in writing.

3.5  We may update these Terms at any time. The version in force at the time you place your Order will apply to that Order.

 

4.  Products & Descriptions

4.1  We take care to describe and display our Goods accurately. However, colours displayed on screen may vary from the actual product due to your monitor settings and the nature of materials such as wood and fabric.

4.2  Dimensions, weights, and specifications are provided as guidance and may be subject to minor manufacturing tolerances. If precise dimensions are critical (for example, for a specific installation), please contact us before ordering.

4.3  We reserve the right to discontinue or modify any product at any time. If a product you have ordered has been discontinued or significantly changed after your Order Confirmation, we will notify you and offer either a suitable alternative or a full refund.

4.4  Images of Goods on the Site are for illustrative purposes only. Accessories, decorative items, and room settings shown in images may not be included with the Goods unless explicitly stated.

Note for Business Customers: The implied terms under the Sale of Goods Act 1979 regarding description, quality, and fitness for purpose are incorporated into contracts with Business Customers to the extent permitted by law. Certain exclusions may apply — see clause 11.

 

5.  Pricing & VAT

5.1  All prices displayed on the Site are in pounds sterling (GBP) and are inclusive of UK VAT at the applicable rate unless otherwise stated.

5.2  Delivery charges are not included in product prices and will be calculated and displayed at checkout before you complete your Order.

5.3  We take all reasonable care to ensure prices are correct. If we discover a pricing error after you have placed an Order:

  • If the correct price is lower than stated, we will charge the lower price and fulfil your Order.
  • If the correct price is higher than stated, we will contact you and give you the option to proceed at the correct price or cancel for a full refund. We are under no obligation to supply Goods at an incorrect lower price.

5.4  We reserve the right to change prices at any time. Price changes will not affect Orders for which an Order Confirmation has already been issued.

5.5  Promotional prices and discounts apply only within the promotional period stated and cannot be applied retrospectively.

 

6.  Ordering Process

6.1  To place an Order you must follow the checkout process on the Site. You will be given the opportunity to review and correct your Order before submitting it.

6.2  After submitting your Order you will receive an automated acknowledgement email. This acknowledgement is not an acceptance of your Order.

6.3  A binding Contract is formed only when we send you an Order Confirmation. Please check this document carefully and contact us immediately if anything is incorrect.

6.4  You are responsible for ensuring all details you provide (name, delivery address, contact details) are complete and accurate. We are not liable for delays or non-delivery arising from inaccurate information.

6.5  We may, at our discretion, accept amendments to an Order after the Order Confirmation has been issued, provided the Goods have not yet been dispatched. Contact us as soon as possible by email if you wish to amend an Order.

 

7.  Payment

7.1  We accept the following payment methods: Visa, Mastercard, American Express, Debit Cards, and PayPal.

7.2  Payment is taken in full at the time of ordering. We do not offer payment plans or credit terms through the Site unless separately agreed in writing.

7.3  All card payments are processed securely. We do not store your full card details on our systems. Payment processing is subject to the terms of our payment processor.

7.4  By submitting payment details you confirm that you are the authorised cardholder or PayPal account holder and that the payment instrument may be lawfully used for this purchase.

7.5  If your payment is declined, your Order will not be processed. You should contact your bank or payment provider. We are not responsible for any charges your bank may apply.

7.6  If we suspect fraudulent activity, we reserve the right to cancel the transaction and notify the relevant authorities. We will not be liable for any losses arising from the cancellation of a fraudulent transaction.

 

8.  Delivery

8.1  Delivery Options

We offer the following delivery services (subject to availability at your address):

  • Saturday Delivery
  • Sunday Delivery
  • Pre-10am Next Working Day Delivery
  • Pre-12pm Next Working Day Delivery

Delivery charges for each option are displayed at checkout. Delivery is available to addresses in the United Kingdom and selected European destinations.

8.2  Delivery Timeframes

8.2.1  Estimated delivery times are shown at checkout and in your Order Confirmation. These are estimates only and are not guaranteed. Time is not of the essence for delivery unless we have expressly agreed otherwise in writing.

8.2.2  We are not liable for delays caused by circumstances outside our reasonable control, including adverse weather, carrier delays, or industrial action. In such cases we will contact you to arrange a revised delivery date.

8.2.3  If delivery is delayed by more than 30 days beyond the estimated date (for reasons within our control), you may contact us to cancel your Order for a full refund.

8.3  Delivery of Large Items

8.3.1  Furniture deliveries are made to your ground floor front door or equivalent access point unless a specific room-of-choice or assembly service has been purchased. Please ensure adequate access is available.

8.3.2  It is your responsibility to ensure that the Goods ordered will fit through doorways, stairwells, and hallways into the desired room. We cannot accept returns where items cannot be installed due to access limitations.

8.3.3  If you are unable to accept delivery on the agreed date, please notify us at least 24 hours in advance. Re-delivery charges may apply.

8.4  Risk & Ownership

8.4.1  Risk in the Goods passes to you upon delivery.

8.4.2  Ownership (title) of the Goods passes to you when we have received payment in full.

8.5  Inspection on Delivery

8.5.1  Please inspect all Goods on delivery before signing the delivery note. If Goods appear damaged, make a note on the delivery documentation before signing and contact us within 48 hours with photographic evidence.

8.5.2  If damage is discovered after the delivery driver has left, contact us as soon as reasonably possible and in any event within 5 Working Days of delivery. After this period we may be unable to make a claim against the carrier.

8.6  International Deliveries

8.6.1  For deliveries within Europe, we will arrange and meet all customs payments, import duties, and taxes on your behalf. These costs are included in the price quoted at checkout.

8.6.2  For deliveries outside Europe, import duties, taxes, and customs clearance charges payable in the destination country are your sole responsibility. We are not liable for any delays caused by customs processing.

8.6.3  Please check the import regulations of your destination country before placing an Order for international delivery. We cannot accept returns where Goods are refused by customs due to a failure to comply with local regulations.

 

9.  Your Right to Cancel (Consumers)

9.1  The 14-Day Cooling-Off Period

9.1.1  If you are a Consumer you have the right to cancel any Order within 14 calendar days of the day on which you (or a person nominated by you) receive the Goods, without giving any reason. This right arises under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

9.1.2  To exercise your right to cancel you must inform us of your decision by a clear written statement before the cancellation period expires. You may use the Model Cancellation Form in Schedule 1 to these Terms, but this is not mandatory. You may alternatively contact us by:

9.2  Exceptions to the Right to Cancel

The right to cancel does not apply to:

  • Goods that have been made to your specification or clearly personalised (bespoke or custom orders).
  • Goods that have been assembled unless any defect in the Goods was not apparent on reasonable inspection before assembly.
  • Goods where the seal has been broken and cannot reasonably be resold for hygiene reasons (for example, mattresses with broken hygiene seals).

9.3  Returning Goods After Cancellation

9.3.1  If you cancel an Order and Goods have already been delivered to you, you must return the Goods to us without undue delay and in any event within 14 calendar days of notifying us of your decision to cancel.

9.3.2  You must return Goods in their original packaging, unassembled, and in the same condition as delivered. Goods that are no longer in their original packaging or that have been assembled cannot be returned under this cancellation right.

9.3.3  You are responsible for the cost of returning Goods unless we agree otherwise. As furniture items are large, you should use a suitable tracked and insured delivery service.

9.3.4  Alternatively, we can arrange collection of the Goods on your behalf. Collection is charged at £50 per item. This charge will be deducted from your refund.

9.3.5  You are liable for any diminished value of the Goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning.

9.4  Refunds Following Cancellation

9.4.1  We will reimburse the purchase price without undue delay and in any event within 14 calendar days after:

  • We receive the Goods back from you; or
  • You supply evidence that you have returned the Goods (whichever is earlier).

9.4.2  If no Goods were despatched before cancellation, we will refund within 14 calendar days of receiving your cancellation notice.

9.4.3  We will process the refund using the same payment method you used for the original transaction unless you have expressly agreed to a different method. You will not be charged any fee for the refund.

9.4.4  We may reduce the refund to reflect any reduction in the value of the Goods if they have been handled more than necessary — see clause 9.3.5.

Consumer Rights Reminder: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015, including the right to reject faulty Goods, seek repair or replacement, and claim a price reduction. These rights exist in addition to your cancellation rights and are not time-limited to 14 days.

 

10.  Faulty, Damaged & Incorrect Goods

10.1  Under the Consumer Rights Act 2015, Goods must be of satisfactory quality, fit for purpose, and as described.

10.2  If Goods arrive damaged, are faulty, or are not as described, please contact us within 30 days of delivery. You may be entitled to:

  • A full refund (if you reject the Goods within 30 days of delivery);
  • A repair or replacement; or
  • A price reduction if repair or replacement is not possible or appropriate.

10.3  After 30 days and within 6 months of delivery, if Goods develop a fault we will assume the fault was present at the time of delivery unless we can prove otherwise. We will offer a repair or replacement, or a partial refund if neither is possible.

10.4  After 6 months, the burden of proof shifts to you to demonstrate that any fault was present at the time of delivery. This does not affect rights under our product guarantee at clause 12.

10.5  Please retain all original packaging until you are satisfied with your Goods, as it will be required for any return.

10.6  To report a fault, damage, or incorrect delivery, please email us at [email protected] with:

  • Your order number;
  • A description of the issue; and
  • Photographs clearly showing the damage or fault.

 

11.  Product Guarantee

11.1  All Goods are supplied with a 1-year manufacturing guarantee against defects in materials and workmanship (‘the Guarantee’), in addition to and without prejudice to your statutory rights.

11.2  The Guarantee applies only to Goods used in a domestic residential environment. Goods used in a commercial, public, hospitality, or rental environment are not covered by the Guarantee. Business Customers should note this limitation and ensure they hold appropriate commercial product warranties where required.

11.3  The Guarantee does not cover:

  • General wear and tear from normal domestic use;
  • Intentional damage, negligence, or misuse;
  • Damage caused by failure to follow care and assembly instructions;
  • Damage caused during cleaning or the use of inappropriate cleaning products;
  • Damage to acrylic or plastic components caused by exposure to direct sunlight or UV;
  • Damage to flooring or property during normal product use;
  • Cosmetic damage caused after delivery (for example, scratches from moving the item);
  • Discolouration or fading due to environmental exposure.

11.4  To make a claim under the Guarantee please contact us at [email protected] with your order number, a description of the defect, and photographic evidence. We will assess the claim and, if valid, offer repair, replacement, or a partial refund at our discretion.

11.5  The Guarantee is non-transferable and applies only to the original purchaser.

 

12.  Limitation of Liability

12.1  Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any liability which cannot be excluded or limited by applicable law.

12.2  Subject to clause 12.1, our total liability to you in connection with any Order, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you for the Goods in that Order.

12.3  Subject to clause 12.1, we will not be liable for:

  • Any loss of profit, loss of business, loss of revenue, loss of data, or any indirect or consequential loss, howsoever arising;
  • Losses that were not a foreseeable result of our breach;
  • Losses arising from your failure to provide accurate information at the time of Order.

12.4  For Consumers, these limitations do not affect rights under the Consumer Rights Act 2015 or any other applicable consumer protection legislation.

12.5  For Business Customers: you acknowledge and agree that these limitations are reasonable and reflected in the price at which Goods are offered.

 

13.  Intellectual Property

13.1  All content on the Site, including but not limited to text, images, graphics, logos, product photographs, product descriptions, and downloadable files, is owned by or licensed to High Noon Hospitality Services Ltd and is protected by intellectual property law.

13.2  You may browse the Site and print or download content for your own personal, non-commercial use only. You must not:

  • Copy, reproduce, republish, upload, post, transmit, or distribute any content from this Site for commercial purposes;
  • Modify or adapt any content from this Site;
  • Use any content from this Site in a manner that is misleading or deceptive;
  • Remove any copyright, trade mark, or other proprietary notices from any content.

13.3  Any trade marks, logos, or brand names appearing on the Site are the property of their respective owners and may not be used without permission.

 

14.  Data Protection & Privacy

14.1  We process your personal data in accordance with our Privacy Policy, which is available on the Site. Our Privacy Policy forms part of our relationship with you and should be read alongside these Terms.

14.2  By placing an Order you consent to our use of your personal data as described in our Privacy Policy.

14.3  We will not sell or transfer your personal data to third parties for marketing purposes without your consent.

14.4  We are registered as a data controller with the Information Commissioner’s Office (ICO) and comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

 

15.  Use of the Website

15.1  You may use this Site for lawful purposes only. You must not:

  • Use the Site in any way that breaches any applicable local, national, or international law or regulation;
  • Use the Site to transmit or distribute any virus, malware, or other harmful code;
  • Attempt to gain unauthorised access to any part of the Site or its supporting systems;
  • Engage in any conduct that disrupts or interferes with the operation of the Site.

15.2  We do not guarantee that the Site will always be available or error-free. We may suspend, withdraw, or restrict access to the Site at any time for business or operational reasons.

15.3  We are not responsible for the content of any third-party websites linked from the Site. Links are provided for information only and do not constitute endorsement.

15.4  You are responsible for ensuring that your device and internet connection meet all technical requirements necessary to use the Site. We are not liable for loss or damage caused by viruses or other harmful material that infects your device due to your use of the Site.

 

16.  Force Majeure

16.1  We will not be liable for any failure or delay in performing our obligations under a Contract where that failure or delay results from events, circumstances, or causes beyond our reasonable control, including but not limited to:

  • Acts of God, floods, storms, earthquakes, or other natural disasters;
  • Epidemic or pandemic;
  • War, riot, terrorism, or civil unrest;
  • Industrial action or strikes;
  • Failure of utility services or transport networks;
  • Government action, lockdown, or regulatory changes.

16.2  If a force majeure event occurs, we will notify you as soon as reasonably practicable and will use reasonable endeavours to minimise disruption.

16.3  If a force majeure event continues for more than 30 days, either party may terminate the affected Order by written notice. We will refund any amounts paid for Goods not yet delivered.

 

17.  Complaints & Dispute Resolution

17.1  If you have a complaint about your Order, please contact us in the first instance at [email protected]. We aim to acknowledge complaints within 2 Working Days and resolve them within 10 Working Days.

17.2  If we are unable to resolve your complaint to your satisfaction, you may refer it to an alternative dispute resolution (ADR) scheme. We will provide details of the relevant ADR provider on request.

17.3  Consumers in the UK or EU may also use the Online Dispute Resolution (ODR) platform operated by the European Commission, accessible at: ec.europa.eu/consumers/odr.

17.4  Nothing in this clause prevents you from bringing proceedings in a court of competent jurisdiction.

 

18.  Governing Law & Jurisdiction

18.1  These Terms and any Contract formed under them are governed by the laws of England and Wales.

18.2  Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that:

  • If you are a Consumer resident in Scotland, you may bring proceedings in the Scottish courts.
  • If you are a Consumer resident in Northern Ireland, you may bring proceedings in the Northern Irish courts.

 

19.  General

19.1  Severance: If any provision of these Terms is found by a court to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force.

19.2  Waiver: Our failure to exercise or delay in exercising any right under these Terms does not constitute a waiver of that right.

19.3  Entire agreement: These Terms, together with the Order Confirmation, Privacy Policy, and any other documents expressly referred to herein, constitute the entire agreement between us in relation to each Order and supersede all prior representations, agreements, or understandings.

19.4  Third parties: These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

19.5  Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any purchaser of our business or the assets relating to it.

19.6  Notices: Any formal notice required under these Terms should be sent by email to [email protected] or by first-class post to our registered address. Emails are deemed received on the next Working Day after sending; post is deemed received 2 Working Days after posting.
